These Terms of Use contain provisions that affect how disputes between you and us are resolved. Specifically, the Terms include:
- a requirement that most disputes be resolved through binding arbitration rather than in court;

1. Additional Terms
These Terms of Use apply to your access to, and participation in, the Chem-Circle Rewards Program ("Chem-Circle"), which is operated by Chem-Impex International, Inc. or its respective subsidiaries (collectively, "Chem-Impex"). These Terms of Use do not alter in any way the terms or conditions of any other agreement you may have with Chem-Impex.
2. Changes to Terms
Chem-Impex reserves the right to change or modify these Terms of Use or any policy, FAQ, offer, promotion, benefit or guideline pertaining to Chem-Circle, in whole or in part, at any time and in its sole discretion. Any changes or modifications will be effective immediately and may be posted to https://www.chemimpex.com, so please check back from time to time.
You waive any right you may have to receive specific notice of such changes or modifications, and your continued access to or participation in Chem-Circle following any such changes or modifications confirms your acceptance. If you do not agree to these Terms of Use, you must stop accessing and participating in Chem-Circle.
3. Personal Use
Chem-Circle is intended for personal use only. Commercial use is prohibited. Chem-Circle is not targeted towards, nor intended for use by, anyone under the age of 18.
Our Privacy Policy is incorporated into these Terms of Use and governs your participation in Chem-Circle. Please read the Privacy Policy carefully to understand how Chem-Impex collects, uses and discloses information about customers, how to update or change your personal information, and how we communicate with you.
4. About Chem-Circle
Chem-Circle is a program designed to thank our customers for their loyalty and for purchasing Chem-Impex products. Members of Chem-Circle can earn Points, which can be redeemed for rewards (“Rewards”) and other benefits in accordance with these Terms of Use.
5. Joining Chem-Circle
To join Chem-Circle, go to https://www.chemimpex.com/ (the “Website”). You are responsible for maintaining the confidentiality of your account credentials.
6. Earning Points
The Rewards that are available to you through Chem-Circle are based on the number of Points that you earn. You can earn Points in the following ways:
- Purchasing products online. When you purchase products online using your registered Chem-Circle account, you will earn 1 Point for every $1 you spend, excluding taxes and fees.
- Through your activities. When you complete certain activities, such as: (i) joining Chem-Circle: 250 Points, (ii) subscribing to our marketing emails: 125 Points, (iii) posting reviews (1 per month): 50 Points for reviews posted on product pages or in response to email requests; social media posts do not qualify, and (iv) following us on LinkedIn: 50 Points.
- Promotional bonus Point offers. From time to time, Chem-Impex may offer you opportunities to earn additional "Bonus Points" through special promotions. These promotional Bonus Points will be awarded as described in the applicable promotional offer and will be subject to any additional terms set forth in such promotional offer. Offer(s) subject to change, and may be modified, suspended or terminated at any time without notice. Offers void where prohibited by law. Other restrictions may apply.
Note that Points may not be earned in fractional amounts. Any fractional Points will be rounded down. Points will not be earned on purchases made when using an account not registered with the Chem-Circle program.
7. Returns
If you return or void an item, your Point balance will reduce by the number of Points earned for any voided or returned item, which may result in a negative Point balance on your account. For information about how Chem-Impex handles returns, please read our Terms and Conditions.
8. Points Expiration
Points earned from online purchases are automatically added to your account within 24 hours of payment. Points earned from other activities are added according to the timing of the activity. Unless otherwise noted, all Points expire in 6 months from the date Points were credited into your account. For example, if you earn Points on December 16, 2026, they will expire on June 16, 2027. The oldest accrued Points will be used first for redemptions. You can view and track your Point balance, as well as any additional benefits for which you are eligible as a Chem-Circle member, on https://www.chemimpex.com.
9. Redeeming Points for Rewards
Chem-Impex offers different Rewards based on different Point redemption tiers. Rewards consist of fixed dollar discounts applied to eligible orders. The Point redemption tiers for redeeming Points are as follows:
- 500 Points may be redeemed for $20 (pre-tax) off one eligible order.
- 1000 Points may be redeemed for $40 (pre-tax) off one eligible order.
- 1500 Points may be redeemed for $60 (pre-tax) off one eligible order.
Points may only be redeemed in increments of 500 Points. A maximum of 2,500 Points, equivalent to $100.00, may be redeemed per order.
10. Other Important Point Redemption Information and Exclusions
Points may be redeemed only for Rewards on eligible online orders. Rewards are ineligible to be redeemed for the following:
- Restricted products, including any products subject to regulatory control or other legal restrictions.
- Bulk or custom orders, including any order that is specially configured, customized, or purchased in large quantities.
- Orders that are otherwise deemed ineligible by Chem-Impex in its sole discretion.
Rewards may not be combined with other discounts or promotional offers unless expressly permitted in applicable promotional terms and conditions. The Chem-Circle Rewards Program is available only to customers purchasing at standard pricing and cannot be combined with other discounts, rebates, or special pricing arrangements, including those from rebate programs or negotiated contracts with Chem-Impex.
11. Additional Benefits of Chem-Circle
As a Chem-Circle member, you may be eligible for the following additional benefits.
- Early or extended access to certain promotions and offers. Chem-Impex may offer customers, including Chem-Circle members, early or extended access to discounts online.
- Personalized offers and coupons. Special offers may be distributed by email. You may be required to opt-in and activate special offers. To receive and activate personalized special offers distributed via email, you must opt-in to receive promotional and marketing offers from Chem-Impex and you may be required to provide a valid email, telephone and physical address. Special offers may be customized based on your purchase behaviors and preferences, and may include periodic discounts, or the opportunity to earn Bonus Points. Special offers may have certain restrictions, including expiration dates and short, time-limited redemption periods. Special offers are personal to you and cannot be shared, copied or transferred. Read each offer carefully for specific details, expiration dates, and limitations and restrictions. Chem-Impex reserves the right to change or suspend the personal offers and coupons in its discretion.
- Double or Triple Points. Chem-Impex may offer Double or Triple Point Days, where you can earn twice or triple the number of Points for your purchase. Chem-Impex will notify you of a designated Double or Triple Point Day, which will be personalized and selected by Chem-Impex for you. You must opt-in to receive promotional and marketing emails from Chem-Impex in order to receive notice of a designated Double or Triple Point Day. Chem-Impex reserves the right to exclude certain products from Double or Triple Point Day eligibility and to modify the benefit.
- Referral Program. As a Chem-Circle member, you may invite friends to join Chem-Circle. When your friend completes their first eligible online purchase of $250 or more, you’ll earn 500 Points, redeemable on eligible online orders of $275 or more. Points are credited 14 days after the referred order is completed. Additional terms and restrictions apply. See our Refer-a-Friend Policy for details.
12. Other Information You Should Know
There are no participation or membership fees associated with Chem-Circle. Points accrued in connection with Chem-Circle are promotional, have no cash value and cannot be redeemed for cash. In addition, your redemption of Points accrued in connection with Chem-Circle cannot be combined with any other offers or discounts, unless otherwise expressly indicated by Chem-Impex.
Your Points, Rewards, and Chem-Circle account are personal to you and may not be sold, transferred or assigned to or shared with, colleagues, family, friends or others. You may have only one Chem-Circle account that is personal to you.
Without notice to you, Chem-Impex reserves the right to terminate your account and/or your participation in Chem-Circle if Chem-Impex determines, in its sole discretion, that you have violated these Terms of Use or that the use of your Chem-Circle account is unauthorized, deceptive, fraudulent or otherwise unlawful. Chem-Impex may, in its sole discretion, suspend, cancel or combine Chem-Circle accounts that appear to be duplicative. In the event that your participation in Chem-Circle is terminated, all accrued Points in your account are void.
Without notice to you, Chem-Impex also reserves the right to "unregister" and make ineligible for Chem-Circle any account that has been inactive for 2 consecutive years. Inactivity is defined as no Points earned during such 2-consecutive-year period. In the event that your account is unregistered or rendered inactive, all accrued Points in your account are void.
Chem-Impex reserves the right to change, modify, discontinue or cancel Chem-Circle or any part of the Chem-Circle program, at any time and in its sole discretion, without notice to you.
13. Dispute Resolution
Please read carefully. This section affects your legal rights, including your right to go to court, have a jury trial, or participate in a class action.
- Binding Arbitration. Any dispute arising out of or relating to Chem-Circle or these Terms of Use will be resolved through binding arbitration in accordance with the Federal Arbitration Act. Arbitration is the exclusive method for resolving disputes, except that either party may bring a claim in small claims court if it meets the court’s jurisdictional limits. The arbitrator has the authority to resolve disputes individually and to award any relief that would otherwise be available in court.
- Informal Dispute Resolution (Optional). Before initiating arbitration, you and Chem-Impex agree to try to resolve the dispute informally by contacting Customer Service with a detailed description of the issue, including any account or order information and the relief requested. Both parties will negotiate in good faith to resolve the dispute within 30 days of notice. Completion of this informal process is not required to proceed with arbitration but is encouraged to avoid unnecessary escalation.
- No Class Actions. You and Chem-Impex each knowingly, voluntarily, and intentionally waive any right to participate in a class, collective, consolidated, or representative action. Any claims must be brought solely on an individual basis, and you may not act as a plaintiff or class member in any purported class or representative action.
- Waiver of Jury Trial. To the fullest extent permitted by law, you and Chem-Impex knowingly, voluntarily, and intentionally waive any right to a trial by jury in any dispute, including disputes arising out of or relating to these Terms of Use or participation in Chem-Circle.
14. Governing Law and Jurisdiction
These Terms of Use and your participation in Chem-Circle are governed by the laws of the State of Illinois, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If the arbitration agreement is ever found unenforceable, or if a dispute is not subject to arbitration, you agree that any legal action must be brought exclusively in the federal or state courts located in DuPage County, Illinois. You waive any objections based on personal jurisdiction, inconvenient forum, or venue, and you agree not to request transfer or change of venue.
15. Severability and Survival
Except as otherwise provided herein, if any provision or part of a provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision or part of the provision shall be deemed severable from these Terms of Use and do not affect the validity and enforceability of any remaining provisions.
